Terms of Service

1. Introduction
These Terms of Service govern your use of the website, services, and software products provided by Alopex Digital OÜ (registry code 17180489). By using our services, you agree to these Terms.
2. Services
Alopex Digital provides consulting services (CRM implementation, workflow automation), software products (custom automations, integrations), and managed services (ongoing support, maintenance).
3. Client Obligations
Clients agree to: provide accurate information, grant necessary system access, respond timely to requests, maintain credential confidentiality, comply with applicable laws, and pay invoices per agreed terms.
4. Payment Terms
Standard payment term: 14 days from invoice date. Invoices in EUR. Late payments may incur 0.05% daily interest. Services may be suspended for accounts 30+ days overdue.
5. Intellectual Property
We retain ownership of pre-existing tools and methodologies. Clients own custom deliverables created specifically for them (upon full payment) and their business-specific configurations.
6. Confidentiality
Both parties agree to keep confidential information private, use it only for service delivery, and not disclose to third parties without consent. Obligations survive 3 years after termination.
7. Limitation of Liability
Our total liability shall not exceed fees paid in the 12 months preceding the claim. We are not liable for indirect damages, lost profits, or issues from third-party services.
8. Termination
Either party may terminate: for convenience with 30 days notice, or immediately for material breach not cured within 14 days. Upon termination, client pays for services rendered.
9. Governing Law
These Terms are governed by Estonian law. Disputes shall be resolved in Harju County Court, Estonia. EU consumers may use the EU ODR platform at ec.europa.eu/consumers/odr.
